Description:

Background and Rationale The objectives of this module are to:

1. Give the opportunity to students to explore and understand the nature of the registered company, to examine and appreciate the centralised management structure within a company which divides power between directors and shareholders.

2. Expose students to legal principles derived from a variety of legal instruments including statutes and cases

3. Develop skills of legal analysis in Company Law.

Learning Outcomes


After completion of the module students will be expected to be able to:
1. Understand the role-played by corporate personality and the division of power between directors and shareholders; the structure of company boards, the general duties of directors and liability for breach of those duties; together with the remedies available to shareholders when disputes break out within the company.
2. Analyse legal materials, identify key legal principles and issues and, where appropriate and make constructive criticism;
3. Critically evaluate legal materials by way of statutory interpretation, case analysis and review of journal articles;
4. Communicate effectively knowledge of issues of company law and present reasoned arguments coherently.
5. Evaluate legal materials and effectively apply them to practical corporate problems;
